Terms of Service

1. Agreement to Terms

By accessing or using mhsaeed.com (the "Site") or engaging my services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Site or use my services.

2. Services Description

I provide freelance software development services including:

MVP Development: Full-stack web application development
Operational Systems: Internal tools and automation
Project Rescue: Fixing or completing abandoned projects
Discovery & Roadmap: Technical consulting and planning

All services are provided according to individually negotiated contracts that supplement these general terms.

3. Intellectual Property

Code Ownership

Custom Code — Transfers to Client upon final payment. You own 100% of custom code written for your project.
Pre-existing Libraries — Remains with original owner. Open-source licenses apply.
Reusable Components — Generic components may be reused in future projects.

4. Payment Terms

Booking Payment: Typically 20% to reserve the schedule and begin work
Milestones: Remaining balance split across agreed milestones
Final Payment: Due upon project completion, before code handoff
Quotes: Issued in USD and valid for 14 days unless stated otherwise
Third-Party Costs: Hosting, cloud, AI, software, and usage fees are billed by their providers or passed through with prior approval
Late Payments: Work pauses after 7 days overdue

5. Project Process

Fit Call — Free 30-minute consultation to confirm fit and choose the right paid service.
Proposal — Detailed scope, timeline, and pricing within 3–5 business days.
Contract Signing — Custom agreement with specific terms.
Booking Payment — Work begins upon receipt.
Development — Weekly updates and milestone deliveries.
Review Cycles — 2 revision rounds included per milestone.
Final Delivery — Code, documentation, and handoff call.

6. Revisions & Changes

Included

2 rounds of revisions per milestone
Bug fixes during development and 30 days post-launch
Minor text/content changes

Not Included (Requires Change Order)

Scope changes after contract signing
Additional features not in original spec
Design changes after approval
Third-party integrations not originally scoped

7. Warranties & Guarantees

Bug Fixes: 30 days post-launch for defects in delivered code
Functionality: Features work as specified per contract
Security: OWASP guidelines followed

8. Limitation of Liability

Liability is limited to the amount paid for the specific service in question.
I am not liable for indirect, incidental, or consequential damages.
I am not liable for losses due to third-party services or client-side issues.

9. Confidentiality

I will not disclose your project details, business plans, or proprietary information. NDA available upon request. Client data is handled per the Privacy Policy.

10. Termination

You may terminate at any time with written notice. Payment is due for all work completed to date. Code is delivered for paid milestones only.

11. Dispute Resolution

Disputes follow a process of: (1) Good Faith Discussion, (2) Mediation, (3) Binding Arbitration under Pakistani law. For international clients, alternative jurisdiction may be agreed in the project contract.

12. Digital Products

For digital products purchased from me (via a linked external store or by arrangement after you get in touch): personal and commercial use on unlimited projects, email support included, and redistribution is not permitted. A 14-day money-back guarantee is provided for direct purchases, while purchases on external stores are governed by that store's policy.

13. Changes to Terms

I reserve the right to modify these Terms at any time. Changes will be posted with an updated "Last Updated" date. For active projects, the Terms in effect at contract signing apply.
